CCC STOCK. Between the date of this Agreement and the Effective Time, CCC shall not declare, pay or set aside any dividend or other distribution (whether in cash, stock or property or any combination thereof) in respect of its equity securities or directly or indirectly redeem, purchase or otherwise acquire or offer to acquire any shares of its equity securities, other than any such action which would result in any adjustment to the Base Merger Consideration or the Contingent Merger Consideration pursuant to Section 2.2(e) and 2.3(d).
