Cease Payments. In the event that Executive materially breaches the Company’s Confidential Information, Invention Assignment, and Arbitration Agreement the Company’s obligation to make or provide payments or benefits under Section 8 will cease. Further, the Company shall have the right upon written notice (which may be in electronic form) to reclaim and receive from the Executive the gross amount of any payments provided under Section 8, and any such return of such payments by the Executive which requires action on the part of the Executive shall be made within five (5) business days following receipt of written demand therefore.
