Common use of Cease Trade Order Clause in Contracts

Cease Trade Order. In the event that any order to cease trading in securities of the Company is made or threatened by a securities regulatory authority, the Underwriter shall be entitled, at its option, in accordance with subparagraph 11(f) of this Agreement, to terminate its obligations under this Agreement (and the obligations of the Purchasers arranged by them to purchase Special Warrants) by written notice to that effect given to the Company prior to the Special Warrant Closing Time.

In the event that any order order, action or proceeding which ceases trades or otherwise operates to cease prevent or restrict trading in securities of the Company is made or threatened by a securities regulatory authoritySecurities Regulator, the Underwriter shall be entitled, at its optionsole discretion, in accordance with subparagraph 11(fSubsection 8(g) of this Agreement, to terminate its obligations under this Agreement (and the obligations of the Purchasers arranged by them it to purchase Special Warrantsthe Offered Securities) by written notice to that effect given to the Company prior to the Special Warrant Closing Time.
