Celgene Responsibility Sample Clauses

Celgene Responsibility. Upon transfer of Manufacturing responsibility to Celgene under this Section 4.2 with respect to a Discovery Program or Licensed Program, Celgene shall be solely responsible for Manufacturing all Collaboration Compounds, Licensed Compounds and Licensed Products under such Discovery Program or Licensed Program, including both preclinical and clinical materials and commercial product, subject to any cost sharing as described in Section 4.1.

At specified points following the identification of a Celgene Development Candidate in each such Celgene Program, Juno shall have the right to exercise its Option to participate in the further Development and Commercialization of such Celgene Development Candidate, as further set forth in Sections 3.1.2 and 3.1.3, and in the applicable Development & Commercialization Agreement.
