Centurion Indemnification Sample Clauses

Centurion Indemnification. Except to the extent limited by the Tariff Centurion shall indemnify, defend and hold harmless Alon, its officers, agents, employees and contractors from and against any and all claims, demands, causes of action, suits, losses, liability, fines, penalties and judgments (including reasonable attorneys’ fees, defense and settlement costs, and other reasonable costs and expenses incidental thereto) arising out of acts, omissions or events occurring (a) during Centurion’s possession and control of Crude Oil hereunder. CENTURION’S OBLIGATIONS UNDER THIS SECTION 3.3 SHALL NOT APPLY AS TO ANY CLAIM OR CAUSE OF ACTION THAT ARISES OUT OF THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF ALON OR ANY OF ITS OFFICERS, AGENTS, EMPLOYEES AND CONTRACTORS (OTHER THAN CENTURION).
