Cephalon Termination Fee. If this Agreement is terminated pursuant to (i) Section 8.01(f) as a result of the failure of a condition set forth in Sections 7.01(b) or 7.01(d) to be satisfied on or before the Termination Date or (ii) Section 8.01(h), Cephalon shall pay to CIMA a fee of $16,250,000 within two Business Days following termination.
