Certain ABL Amendments Clause Samples

The 'Certain ABL Amendments' clause defines the conditions under which amendments to an Asset-Based Lending (ABL) agreement are permitted or restricted. Typically, this clause outlines specific types of changes—such as modifications to borrowing limits, collateral requirements, or financial covenants—that may require lender consent or may be prohibited altogether. For example, it may prevent the borrower from increasing the ABL facility size or altering key terms without prior approval. The core function of this clause is to protect the interests of the parties by ensuring that significant changes to the ABL agreement cannot be made unilaterally, thereby maintaining the agreed risk profile and financial structure.
