Certain Amendments to Cash Distribution Policies and Partnership Agreements. The Borrower shall not, and shall not permit any Subsidiary to consent to, vote in favor of or permit any amendment of (a) the cash distribution policies of the Guarantor in any manner which would result in a Material Adverse Effect with respect to any Loan Party or materially adversely affect the rights and remedies of Lenders under and in connection with this Agreement, the Notes or any other Loan Document; or (b) the Borrower Partnership Agreement or the Guarantor Partnership Agreement in any manner which would (i) have a material adverse effect on the rights and remedies of Lenders under and in connection with this Agreement or any other Loan Document or (ii) result in a Material Adverse Effect.
