Certain Amendments to this Agreement. (a) Notwithstanding the provisions of Section 12.1, no amendment to this Agreement affecting all Series shall be made without a Company Majority Approval of the Members, if it would materially and adversely affect the rights or obligations of the Series Members (including disproportionately affecting the holders of any particular Series of Class A Shares as compared to holders of any other Series of Class A Shares).
