Certain Consent and Acknowledgments. Each of the Facility Agent and the Managing Agents party thereto hereby consents to the amendment of the Sixth Amended and Restated Lenders Fee Letter dated as of September 9, 2019 among the Borrower, the Facility Agent and the Managing Agents party thereto as set forth in the Seventh Amended and Restated Lenders Fee Letter dated as of the date hereof between the Borrower and the Facility Agent for the benefit of the Lenders.
Certain Consent and Acknowledgments. Each of the Facility Agent and the Managing Agents party thereto hereby consents to the amendment of the Third Amended and Restated Lenders Fee Letter dated as of March 27, 2012 among the Borrower, the Facility Agent and the Managing Agents party thereto as set forth in the Fourth Amended and Restated Lenders Fee Letter dated as of the date hereof between the Borrower and the Facility Agent for the benefit of the Lenders. The parties further acknowledge and agree that any obligation of the Borrower to provide to the Paying Agent monthly lists of Loans, related reports of projected Collections in respect of such Loans and a reconciliation of actual and projected Collections in respect of such Loans has terminated.
