Common use of Certain Contributions of Proceeds of Issuance of REIT Shares Clause in Contracts

Certain Contributions of Proceeds of Issuance of REIT Shares. In connection with any and all issuances of REIT Shares, the General Partner shall make Capital Contributions to the Partnership of the proceeds therefrom, provided that if the proceeds actually received and contributed by the General Partner are less than the gross proceeds of such issuance as a result of any underwriter's discount or other expenses paid or incurred in connection with such issuance, then the General Partner shall make a Capital Contribution of such net proceeds to the Partnership but shall receive additional Partnership Units with a value equal to the aggregate amount of the gross proceeds of such issuance pursuant to Section 4.02(a) hereof. Upon any such Capital Contribution by the General Partner, the General Partner's Capital Account shall be increased by the actual amount of its Capital Contribution pursuant to Section 4.04 hereof.

In connection with any and all issuances of REIT Shares, the General Partner Company shall make Capital Contributions to the Partnership of the proceeds therefrom, provided that if the proceeds actually received and contributed by the General Partner Company are less than the gross proceeds of such issuance as a result of any underwriter's ’s discount or other expenses paid or incurred in connection with such issuance, then the General Partner Company shall make a Capital Contribution of such net proceeds to the Partnership but solely for the purpose of determining its Percentage Interest, the Company shall be deemed to receive additional Partnership Units with a value equal to the aggregate amount of the gross proceeds of such issuance pursuant to Section 4.02(a) hereof. Upon any such Capital Contribution by the General PartnerCompany, the General Partner's Company’s Capital Account shall be increased by the actual amount of its Capital Contribution pursuant to Section 4.04 hereof.

In connection with any If (i) the Company issues additional REIT Shares and all issuances of REIT Sharescontributes, through the General Partner shall make Capital Contributions or otherwise, some or all of the proceeds raised in connection with such issuance to the Partnership of the proceeds therefrom, provided that if and (ii) the proceeds actually received and contributed by the General Partner Company are less than the gross proceeds of such issuance as a result of any underwriter's ’s discount or other expenses paid or incurred in connection with such issuance, then the General Partner Company shall make be deemed to have made a Capital Contribution of such net proceeds to the Partnership but shall receive additional Partnership Units with a value equal to in the aggregate amount of the Partnership’s share of the gross proceeds of such issuance that are contributed to the Partnership and the Partnership shall be deemed simultaneously to have paid such offering expenses in connection with the issuance of additional Partnership Units to the Company for such Capital Contribution pursuant to Section 4.02(a) hereof). Upon any such Capital Contribution by the General PartnerCompany, the General Partner's Company’s Capital Account shall be increased by the actual amount of its Capital Contribution pursuant to Section 4.04 hereof.
