Certain Deemed Contributions of Proceeds of Offering of REIT Shares. In connection with any and all offerings of REIT Shares, the Company shall make (directly or through the General Partner) Capital Contributions to the Partnership of the net proceeds therefrom, provided that if the proceeds actually received and contributed are less than the gross proceeds of such offering as a result of any underwriter's discount or other expenses paid or incurred in connection with such issuance, then the Company shall make (directly or through a General Partner if other than the Company) a Capital Contribution of such net proceeds to the Partnership but the General Partner shall receive additional Partnership Units with a value equal to the aggregate amount of the gross proceeds of such issuance pursuant to Section 4.02(a) hereof. Upon any such Capital Contribution by the Company or the General Partner, its Capital Account shall be increased by the actual amount of its Capital Contribution pursuant to Section 4.01 hereof.
