Certain Equity Financings. Notwithstanding anything to the ------------------------- contrary in this agreement, prior to the Initial Public Offering Date, the Company shall not issue any Equity Securities ((a) except for Equity Securities issued to or for the benefit of employees or directors of the Company or its subsidiaries, (b) except in acquisitions, (c) except for Equity Securities issued in connection with financings that are not primarily comprised of Equity Securities and (d) except in connection with any underwritten sale of shares of the Company's common stock to the public registered under the 1933 Act).
