Certain Exclusive Remedies. Except (i) as provided in Section 8.02 and (ii) for the indemnification obligations specified in Article 9, Seller and Purchaser acknowledge and agree that the indemnification provisions of Sections 9.01 and 9.02 shall be the sole and exclusive remedies of Seller and Purchaser, respectively, for any breach of the representations or warranties herein or nonperformance of any covenants and agreements herein of the other party.
