Common use of Certain Filings; Further Actions Clause in Contracts

Certain Filings; Further Actions. The Seller and Buyer shall cooperate with one another (a) in determining whether any Action by or in respect of, or filing with, any Governmental Authority is required, or any Actions, consents, approvals or waivers are required to be obtained from parties to any Assumed Contracts, in connection with the consummation of the transactions contemplated by this Agreement and (b) in taking such actions or making any such filings, furnishing information required in connection therewith and seeking timely to obtain any such actions, consents, approvals or waivers; provided, that the Seller and Buyer shall not be required to pay consideration to obtain any such consent, approval or waiver.

The Seller Sellers and Buyer shall cooperate with one another (ai) in determining whether any Action action by or in respect of, or filing with, any Governmental Authority is required, or any Actionsactions, consents, approvals or waivers are required to be obtained from parties to any Assumed material Contracts, in connection with the consummation of the transactions contemplated by this Agreement and (bii) in taking such actions or making any such filings, furnishing information required in connection therewith and seeking timely to obtain any such actions, consents, approvals or waivers; provided, however, that none of the Seller and Young Entities nor Buyer shall not be required to pay consideration to obtain any such consent, approval or waiverwaiver and Sellers shall not agree to or permit the amendment of any Contract of the Station or relating to the Business in order to obtain any consent or approval.
