Common use of Certain Indebtedness and Capital Structure Clause in Contracts

Certain Indebtedness and Capital Structure. Corning, CCL and Covance each agree to use their respective commercially reasonable efforts to achieve both an allocation of consolidated indebtedness of Corning and a capital structure (including cash position) of each of CCL and Covance so as to substantially reflect the respective capital structures after the Distributions of CCL and Covance set forth in the Information Statement under the headings "Capitalization of CCL" and "Capitalization of Covance".
