Certain Intellectual Property Ownership. In the event that TSI or Reuters provide consulting or development services, one to the other, involving the development of software, the parties shall agree in writing as to the respective ownership of intellectual property rights (including patents, copyrights, trade secrets and similar rights) in and to any such software (“Developed Software”) and their respective obligations with respect thereto. Nothing in this Section 5.6 shall be deemed to constitute or create any transfer of any intellectual property rights of either party that existed prior to the provision of the particular consulting or development services and that were used in the provision of such consulting or development services, and the intellectual property ownership of such Developed Software shall be subject to any such pre-existing rights.
