Certain Interpretive Matters and Definitions. (a) Unless the context otherwise requires, (i) "Transaction Documents" mean, collectively, this Agreement, the Warrant Agreements, the Warrants, the Certificate of Designation and the Registration Rights Agreement, (ii) all references to Sections, Articles or Schedules are to Sections, Articles or Schedules of or to this Agreement, (iii) each term defined in this Agreement has the meaning assigned to it, (iv) each accounting term not otherwise defined in this Agreement has the meaning assigned to it in accordance with GAAP, (v) "or" is disjunctive but not necessarily exclusive, (vi) words in the singular include the plural and vice versa, and (vii) the terms "affiliate" and "subsidiary" have the meanings given to them in Rule 12b-2 of Regulation 12B under the Exchange Act. All references to "$" or dollar amounts will be to lawful currency of the United States of America.
