Common use of Certain Licenses and Permits Clause in Contracts

Certain Licenses and Permits. On or prior to the Distribution Date or as soon as reasonably practicable thereafter: (i) Parent shall use its commercially reasonable efforts to transfer or cause to be transferred all transferable licenses, permits and authorizations issued by any Governmental Authority which relate solely to the SpinCo Business but which are held in the name of any member of the Parent Group, or in the name of any Representative of any such member on behalf of a member of the SpinCo Group, to the appropriate member of the SpinCo Group; and (ii) SpinCo shall use its commercially reasonable efforts to transfer or cause to be transferred all transferable licenses, permits and authorizations issued by Governmental Authorities which relate solely to the Parent Business but which are held in the name of any member of the SpinCo Group, or in the name of any Representative of any such member on behalf of a member of the Parent Group, to the appropriate member of the Parent Group.
