Certain Other Real Property. At any time after the occurrence of a Cash Dominion Event and prior to a Cash Dominion Termination, Agent in its discretion may require that any Borrower or Guarantor shall execute and deliver to Agent a mortgage, deed of trust or deed to secure debt, as Agent may determine, with respect to any Real Property and fixtures and other property of a Borrower or Guarantor of a kind and nature described in the Mortgages not otherwise pledged to Agent and/or Wachovia as collateral agent for Lenders and Term Loan Lenders, in form and substance substantially similar to the Mortgages and as to any provisions relating to specific state laws satisfactory to Agent and in form appropriate for recording in the real estate records of the jurisdiction in which such Real Property, fixtures and other property is located granting to Agent and/or Wachovia as collateral agent for Lenders and Term Loan Lenders a first and only lien and mortgage on and security interest in such Real Property, fixtures or other property (except (a) for the Real Property secured by the Datel Mortgage, (b) as such Borrower or Guarantor would otherwise be permitted to incur hereunder or under the Mortgages or (c) as otherwise consented to in writing by Agent) and such other agreements, documents and instruments as Agent may require in connection therewith.
