Certain Other Restrictions on Amendments. Borrowers shall not, and shall not permit any of their Subsidiaries to, agree to any material amendment to, or waive any of its material rights under the Cooperation Agreement which would require the consent of the Administrative Agent pursuant to Article XIV, Section 26 thereof, including, but not limited to, any material amendment to, or any waiver of material rights under Article III, Sections 1 and 3, Article IV, Section 1, Article IX(b)-(e), Articles X-XII and Article XIV, Sections 1, 3, 4, 6, 7, 8, 14 and 26, without obtaining the prior written consent of the Administrative Agent, which consent shall not be unreasonably withheld or delayed.
