Certain Procedures Relating to Indemnification and Advancement of Expenses. (a)Except as otherwise permitted or required by the LBCL, for purposes of pursuing his or her rights to indemnification under Section 2(a), Section 2(b), Section 2(c) or Section 3(a), as the case may be, the Indemnitee shall submit to the Company (to the attention of the Secretary) a statement of request for indemnification substantially in the form of Exhibit 1 attached hereto (the “Indemnification Statement”) stating that he or she believes that he or she is entitled to indemnification pursuant to this Agreement, together with such documents supporting the request as are reasonably available to the Indemnitee and are reasonably necessary to determine whether and to what extent the Indemnitee is entitled to indemnification hereunder (the “Supporting Documentation”). Upon receipt of any Indemnification Statement the Company will promptly advise the Board of Directors of the Company (the “Board”) in writing that the Indemnitee has requested indemnification.
