Certain Proceedings and Regulatory Matters. At the Stage I Closing, none of the parties hereto shall be subject to any judgment, writ, order, decree or injunction of any court of competent jurisdiction which restrains, enjoins or otherwise prohibits the consummation of the Stage I Transactions, nor shall there be pending any suit, action, investigation, inquiry or other proceeding by any person (including, without limitation, any Governmental Authority) that (A) seeks injunctive or other relief or remedies in connection with such transactions or that makes consummation of the Stage I Transactions subject to significant uncertainty, (B) could prevent or make illegal the consummation of the Stage I Transactions contemplated hereby, or (C) imposes or would be reasonably expected to impose any remedy, condition or restriction on a party hereto which, in its reasonable judgment, is material and adverse to such party.
