If the Trustee shall not have received a payment with respect to any Participation by the date on which such payment was due and payable pursuant to the terms thereof, the Trustee shall make demand upon the Participation Master Servicer for immediate payment, and may, and at the direction of a majority (by Voting Interests) of the Certificateholders shall, take any available legal action, including the prosecution of any claims in connection therewith. The Depositor shall cooperate with the Trustee in connection with any such demand or action to the extent reasonably requested by the Trustee. The reasonable legal fees and expenses incurred by the Trustee in connection with the prosecution of any such legal action shall be reimbursable to the Trustee from the Trust Fund.
