Certain Requirements and Limitations. (a) Notwithstanding the foregoing provisions of this Section 6, if the Executive breaches the Executive’s obligations under Section 7 of this Agreement, the Executive shall no longer be entitled to receive, and the Company shall no longer be obligated to pay, any remaining unpaid portion of any Arrear Bonuses, Base Severance Benefit, or Incentive Severance Benefit as of the date of such breach. Any disputes with respect to the application of this Section 6.9 will be subject to Section 10.8 hereof; provided that during the pendency of any such dispute, the Company will be entitled to withhold any payments pursuant to this Section 6.9.
