Common use of Certain Securities Law Disclosures Clause in Contracts

Certain Securities Law Disclosures. The Company shall: (i) issue a press release acceptable to the Buyer disclosing the transactions contemplated hereby on the Closing Date, (ii) file with the Commission a report on Form 8-K or Form 10-Q disclosing the transactions contemplated hereby within four (4) Business Days after the Closing Date, and (iii) file in a timely manner with the Commission a Form D promulgated under the Securities Act as required under Regulation D and provide a copy thereof to the Buyers promptly after the filing thereof. The Company shall, no less than two (2) Business Days prior to the filing of any disclosure required by clause (ii) above, provide a copy thereof to the Buyer.
