Certain Selling Restrictions. So long as the Company is in compliance in all material respects with its obligations to the Investor under this Agreement, the Note and Warrant, the Investor agrees on its behalf and on behalf of its Affiliates (as defined in Rule 405 under the Securities Act) that it will not short sell, or engage in any short sales with respect to, any shares of Common Stock on any Principal Market where the Common Stock is then listed for trading.
