Common use of Certain Settlements Clause in Contracts

Certain Settlements. Each of the Borrower and the Parent Guarantors will not, and will not permit their Subsidiaries or the Parent to, at any time, without the prior written approval of the Administrative Agent, make any payment in any form (including cash, securities or other Property, but excluding any payments made with the proceeds of insurance) in respect of any settlement of any action, suit, proceeding, investigation or arbitration relating to the Reorganization Transactions in excess of $10,000,000.
