Certain Settlements. Borrower or any Guarantor will not, and will not permit their Subsidiaries or Parent to, at any time, without the prior written approval of the Majority Lenders, make any payment in any form (including cash, securities or other Property, but excluding any payments made with the proceeds of insurance) in respect of any settlement of any action, suit, proceeding, investigation or arbitration relating to the Reorganization Transactions in excess of $10,000,000.
