CERTAIN TAXES, ETC. Except as otherwise provided in Section 13.04(c), the Company shall pay all taxes (other than Federal, state or local income taxes) which may be payable in connection with the execution and delivery of this Agreement or the issuance and sale of the Warrants hereunder or in connection with any modification of this Agreement or the Warrants and shall hold each Holder harmless without limitation as to time against any and all liabilities with respect to all such taxes. The obligations of the Company under this Section 13.04(b) shall survive any redemption, repurchase or acquisition of Warrants by the Company and the termination of this Agreement.
