Certain Terminations During a Change in Control Period. In the event a Change in Control occurs and (x) Executive terminates his employment for Good Reason during a Change in Control Period , or (y) the Company terminates Executive’s employment without Cause (and for reason other than Death of Total Disability) during a Change in Control Period, the Company shall, subject to Executive’s execution of the Release (as defined in this Section 7), pay the following amounts to Executive:
