Certain Transaction Taxes. Acquirer shall be responsible for the payment of all transfer, sales, use, stamp, registration or other similar Taxes resulting from the transactions contemplated by this Agreement. The Parties will cooperate in good faith to minimize any such Taxes to the extent permissible under applicable Law.
