Prior to the effective date of registration of the IHS Shares, no Shareholder shall transfer any shares of IHS Shares to any person or entity except as expressly permitted by this Agreement and unless such transferee shall have agreed in writing to be bound by the provisions applicable to the Shareholders under this Section 7.
