CERTAIN TRANSFEREES. Except in the case of any transfer to a person in an open market transaction subsequent to the effective date of registration of the IHS Stock, no Holder shall transfer any shares of IHS Stock to any person or entity unless such transferee shall have agreed in writing to be bound by the provisions applicable to the Holders under this Article III.
