Certain Transfers; Preferences. To the knowledge of the Seller, neither the Seller, nor the Majority Shareholders or any Affiliate thereof (a) has received any transfer which would constitute a fraudulent transfer or fraudulent conveyance under applicable federal or state law or (b) has received a preference under applicable federal law which it has an obligation to repay in whole or in part.
