Certain Transfers. Without the consent of the General Partner, upon the death of a Limited Partner who is a natural person, such Limited Partner’s interest will be transferred to the estate of such Limited Partner or otherwise in accordance with applicable law, provided that such transferee shall not be substituted for the deceased Limited Partner as a partner of the Partnership without the consent of the General Partner.
