Common use of Certificate and Opinion of Counsel as to Conditions Precedent Clause in Contracts

Certificate and Opinion of Counsel as to Conditions Precedent. Upon any request or application by the Issuers or any Subsidiary Guarantor to the Trustee to take any action under this Indenture, the Issuers or any Subsidiary Guarantor, as the case may be, shall furnish to the Trustee (a) Officers' Certificates in form and substance satisfactory to the Trustee stating that, in the opinion of the signers, all conditions precedent, if any, provided for in this Indenture relating to the proposed action have been complied with, (b) Opinions of Counsel in form and substance satisfactory to the Trustee stating that, in the opinion of such counsel, all such conditions have been complied with and (c) where applicable, a certificate or opinion by an accountant that complies with TIA ss. 314(c).

Upon any request or application by the Issuers or any Subsidiary Guarantor Company to the Trustee or the Escrow Agent to take any action under this Indenture, the Issuers Company, shall furnish to the Trustee or any Subsidiary Guarantorthe Escrow Agent, as the case may be, shall furnish to the Trustee (a) an Officers' Certificates Certificate in form and substance satisfactory to the Trustee stating that, in the opinion of the signers, all conditions precedent, if any, provided for in this Indenture and the Escrow Agreement relating to the proposed action have been complied with, (b) Opinions an Opinion of Counsel in form and substance satisfactory to the Trustee stating that, in the opinion of such counsel, all such conditions have been complied with and (c) where applicable, a certificate or opinion by an accountant that complies with TIA ss. 314(c).

Upon any request or application by the Issuers Company or any Subsidiary Guarantor to the Trustee to take any action under this Indenture, the Issuers Company or any Subsidiary such Guarantor, as the case may be, shall furnish to the Trustee at the request of the Trustee (a) an Officers' Certificates Certificate in form and substance satisfactory to the Trustee stating that, in the opinion of the signers, all conditions precedent, if any, provided for in this Indenture relating to the proposed action have been complied with, (b) Opinions an Opinion of Counsel in form and substance satisfactory to the Trustee stating that, in the opinion of such counsel, all such conditions have been complied with and (c) where applicable, a certificate or opinion by an independent certified public accountant satisfactory to the Trustee that complies with TIA ss. Section 314(c).
