Certificate Incorporation of the Company. The Holders acknowledge that the Certificate of Incorporation attached to as Exhibit A will be in effect as the Certificate of Incorporation, of the Company as of the date hereof. The provisions of Exhibits A are hereby approved by, and made a part of the agreement among, the parties hereto.
