Common use of Certificate of Buyer Clause in Contracts

Certificate of Buyer. Sellers shall have received a certificate signed by an officer of Buyer dated as of the Closing Date and subject to no qualification certifying that the conditions set forth in Sections 8.1, 8.2, 8.7 and 8.9 hereof have been fully satisfied. Such certificate shall be deemed a representation and warranty of Buyer hereunder.

Certificate of Buyer. Sellers Seller shall have received a certificate signed by an executive officer of Buyer dated as of the Closing Date and subject to no qualification certifying that the conditions set forth in Sections 8.19.1, 8.2, 8.7 9.2 and 8.9 9.8 hereof have been fully satisfied. Such certificate shall be deemed a representation and warranty of Buyer hereunder.

Certificate of Buyer. Sellers shall have received a certificate signed by an officer of Buyer dated as of the Closing Date and subject to no qualification certifying that the conditions set forth in Sections 8.1, 8.2, 8.7 8.1 and 8.9 8.2 hereof have been fully satisfied. Such certificate shall be deemed a representation and warranty of Buyer hereunder.

Sellers Seller shall have received a certificate signed by an officer of Buyer dated as of the Closing Date and subject to no qualification certifying that the conditions set forth in Sections 8.19.1, 8.29.2, 8.7 9.4, 9.6, 9.7 and 8.9 9.8 hereof have been fully satisfied. Such certificate shall be deemed a representation and warranty of Buyer hereunder.

Certificate of Buyer. Sellers shall have received a certificate signed by an either the chief executive officer or the chief financial officer of Buyer dated as of the Closing Date and subject to no qualification certifying that the conditions set forth in Sections 8.1, 8.2, 8.7 9.1 and 8.9 9.2 hereof have been fully satisfied. Such certificate shall be deemed a representation and warranty of Buyer hereunderhereunder and there shall be no personal liability of the party executing the same (except for fraud or bad faith).
