The Company shall have been provided with a certificate executed on behalf of Buyer by the Chief Financial Officer or Chief Executive Officer of Buyer certifying (i) as to compliance with the matters set forth in Section 6.2.1 above and (ii) that all covenants (including without limitation those in Article IV) of this Agreement to be performed by Buyer on or before such date have been so performed in all material respects.
