Buyer shall have received a certificate signed by a duly authorized officer of each Seller confirming the matters set forth in (i) Section 7.6(b) and Section 7.6(c) as of the Second Closing Date with respect to such Seller and (ii) Section 7.6(a) as of the Second Closing Date.
