Common use of Certificate of Fiscal Agent or Registrar Clause in Contracts

Certificate of Fiscal Agent or Registrar. The Fiscal Agent, in the case of Bearer Notes, or the Registrar, in the case of Registered Notes shall, as soon as possible and in any event within four months after the date of any such redemption, payment, exchange or purchase, upon request by the Issuer or the Guarantor, send the Issuer and the Guarantor a certificate stating (1) the aggregate nominal amount of Notes that have been redeemed and cancelled and the aggregate amount paid in respect of any related Coupons that have been paid and cancelled or in respect of interest paid on a Global Note, (2) the certificate numbers of such Notes (or of the Certificates representing them), (3) the total number by maturity dates of such Coupons, (4) the certificate numbers and maturity dates of such Talons and (5) the total number and maturity dates of unmatured Coupons, and the certificate numbers and maturity dates of unmatured Talons, not surrendered with Bearer Notes redeemed, in each case distinguishing between Bearer Notes of each Series and denomination (and any Coupons and Talons relating to them) and Registered Notes of each Series.

The Fiscal Agent, in the case of Bearer NotesSecurities not cleared through the CMU Service, or the CMU Lodging and Paying Agent, in the case of Bearer Securities cleared through the CMU Service, or the Registrar, in the case of Registered Notes Securities, shall, as soon as possible and in any event within four months 60 days after the date of any such redemption, payment, exchange or purchase, upon request by the Issuer or the Guarantor, send the Issuer and the Guarantor a certificate stating (1) the aggregate nominal amount of Notes Securities that have been redeemed and cancelled and the aggregate amount paid in respect of any related Receipts and Coupons that have been paid and cancelled or in respect of interest or distribution, as applicable, paid on a Global NoteSecurity, (2) the certificate numbers of such Notes Securities (or of the Certificates representing them)) and Receipts, (3) the total number by maturity dates of such Coupons, (4) the certificate numbers and maturity dates of such Talons and (5) the total number and maturity dates of unmatured Coupons, and the certificate numbers and maturity dates of unmatured TalonsTalons and Receipts, not surrendered with Bearer Notes Securities redeemed, in each case distinguishing between Bearer Notes Securities of each Series and denomination (and any Receipts, Coupons and Talons relating to them) and Registered Notes Securities of each Series.
