CERTIFICATE OF INCORPORATION AND BYLAWS OF PACKAGING. On or prior to the Distribution Date (but in all events prior to the Distribution), Tenneco and Packaging shall each take all necessary actions so that, as of the Distribution Date, the certificate of incorporation and bylaws of Packaging are amended and/or restated in such manner as is determined appropriate by Tenneco.
