Certificate of Legal Existence. Acquiror shall have received a certificate of legal existence or similar certificate of the Company issued by the Secretary of State of the States of California dated within five (5) days prior to the Closing certifying as to the good standing of the Company in such state, and a certificate of legal existence or similar certificate of each Company Subsidiary dated within five (5) days prior to the Closing certifying as to the good standing of each Company Subsidiary in its jurisdiction of formation.

Certificate of Legal Existence. A corporation that is awarded the contract must comply with the laws of this State regarding the procurement of a certificate of authority to transact business in this State from the Secretary of the State.
