Common use of Certificate of Status of Foreign Corporation Clause in Contracts

Certificate of Status of Foreign Corporation. Acquiror shall have received a certificate of good standing with respect to the Company from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within two (2) Business Days prior to the Closing.

Certificate of Status of Foreign Corporation. Acquiror Purchaser shall have received a certificate Certificate of good standing with respect to Status of Foreign Corporation of the Company from the applicable Governmental Entity in each jurisdiction where it is required the failure to be so qualified to do businesswould have a Company Material Adverse Effect, all of which are dated within two five (25) Business Days prior to the Closing.

Acquiror shall have received a certificate of good standing with respect to the Company from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do business, all of which are dated within two (2) Business Days prior to the ClosingClosing with respect to the Company.

Acquiror Purchaser shall have received a certificate Certificate of good standing with respect to Status of Foreign Corporation of each of the Company and its Subsidiary from the applicable Governmental Entity in each jurisdiction where it is they are required to be qualified to do business, all of which are dated within two (2) Business Days prior to the Closing.

Acquiror Buyer shall have received a certificate Certificate of good standing with respect to Status of Foreign Corporation of the Company from the applicable Governmental Entity in each jurisdiction where it is required to be qualified to do businessbusiness as set forth in Section 4.1(a) of the Disclosure Schedule, all of which are dated within two (2) Business Days prior to the Closing.
