CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to Parent one or more certificates, dated the Closing Date, certifying in such detail as Parent may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 7.1 through 7.3 above.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall deliver to RII Sub a closing certificate dated the Closing Date, in a form reasonably satisfactory to RII Sub, as contemplated by Section 9.1.
CERTIFICATE OF THE SHAREHOLDERS. Each Shareholder shall have delivered to Merger Sub certificates executed by such Shareholder, dated the date of the Closing, (i) certifying in such detail as Merger Sub may reasonably request as to the fulfillment and satisfaction of the conditions specified in Paragraphs 8.2 and 8.3 and (ii) certifying that such Shareholder either waives or has no claim against the Company or Merger Sub in respect of any indebtedness or for any unpaid dividends, bonuses, profit sharing or other rights or claims of any kind, nature or description.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to United one or more certificates, dated the Closing Date, certifying in such detail as United may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 7.1 and 7.2 above.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to Altrimega one or more certificates, dated the Closing Date, certifying in such detail as Altrimega may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 7.1 through 7.3 above.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to NeoMedia one or more certificates, dated the Closing Date, certifying in such detail as NeoMedia may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 7.1 through 7.3 above.
CERTIFICATE OF THE SHAREHOLDERS. Parent shall have received a certificate of each of the Shareholders certifying as to the matters set forth in Section 8.2(a) and Section 8.2(b) hereof, which certificate will include a reaffirmation of the representations and warranties of the Shareholders set forth in this Agreement as of the Effective Time.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to Central Wireless one or more certificates, dated the Closing Date, certifying in such detail as Central Wireless may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 8.1 and 8.2 above.
CERTIFICATE OF THE SHAREHOLDERS. The Shareholders shall have executed and delivered, or caused to be executed and delivered, to Carcorp one or more certificates, dated the Closing Date, certifying in such detail as Carcorp may reasonably request to the fulfillment and satisfaction of the conditions specified in Sections 7.1 through 7.3 above.
CERTIFICATE OF THE SHAREHOLDERS. Each Shareholder will have delivered to the Acquiror Company a certificate certifying the satisfaction of the conditions specified in Sections 7.1 and 7.2.
