In accordance with Section 10.1 of the Trust Agreement, the Seller hereby certifies that this Omnibus Amendment does not affect the rights, protections or duties of the Certificate Registrar or the Certificate Paying Agent and that, as a result, the consent of the Certificate Registrar or the Certificate Paying Agent is not required for the effectiveness of this Omnibus Amendment.
