Certificate That Representations Are Correct. The Purchaser shall have delivered to the Vendor a certificate of a senior officer of the Purchaser, in the form of Schedule "C" dated as of the Closing Date, to the effect that each of the covenants, representations and warranties contained in Clause 6.2 is, as of the Closing Date, true and correct in all material respects, except for those changes thereto which necessarily arise as a consequence of the operation of the provisions of this Agreement, as specifically provided herein;

The Purchaser Vendor shall have delivered to the Vendor a Purchaser the certificate of a Vice-President, Corporate Secretary or other senior officer of the PurchaserVendor, in the form of Schedule "CD" and dated as of the Closing Date, to the effect that each of the covenants, representations and warranties contained in Clause 6.2 6.01 was, as of the Effective Date, and is, as of the Closing Date, true and correct in all material respects, except for those changes thereto which necessarily arise as a consequence of the operation of the provisions of this Agreement, as specifically provided herein;
