Common use of Certificates and Representations Clause in Contracts

Certificates and Representations. Any certificate signed by an authorized officer of the Authority delivered to the Purchaser at the Closing shall be deemed a representation and warranty by the Authority as to the statements made therein. The Authority covenants that between the date hereof and the Closing it will not take any action that will cause the representations and warranties made herein to be untrue as of the Closing.
