Certificates; Constitutional Documents. The Lender shall have received a customary secretary’s certificate in the form of Exhibit B to the Agreement (which shall include, as attachments thereto, customary resolutions or evidence of corporate authorization in the form of Exhibit C to the Agreement and customary incumbency certificates and such other documents and certificates (including constitutional documents and good standing certificates) as the Lender may reasonably request relating to the organization, existence and good standing of each Credit Party, the identity, authority and capacity of each officer thereof authorized to act as an officer in connection with the Loan Documents and any other legal matters relating to the Credit Parties, the Loan Documents or the transactions contemplated thereby).
