The Company will pay all expenses and taxes in connection with the issuance of the Warrant and certificates for the purchased Shares.

Upon the exercise of the purchase rights evidenced by this Warrant, one or more certificates for the number of Shares so purchased shall be issued as soon as practicable thereafter. The Company will use its "best efforts" to deliver Shares within three (3) days, and in any event within thirty ten (3010) days of the delivery of the subscription notice. The Company shall also issue a replacement warrant on the terms herein to the Holder for any Shares not so exercised.

Upon the exercise of the purchase rights evidenced by this Warrant, the Company shall issue one or more certificates for the number of Shares so purchased shall be issued purchased, as directed by Creditor, as soon as practicable thereafter, and in any event within thirty (30) days of the delivery of the subscription notice.
