Common use of Certificates of Designations; Charter Documents Clause in Contracts

Certificates of Designations; Charter Documents. (a) The Certificate of Designations, as in effect on the date hereof, is set forth in Exhibit A hereto. The Charter Documents, as in effect on the date hereof, are set forth in Exhibits B and C hereto. (b) The Company covenants that it will act in accordance with its Charter Documents and the Certificate of Designations. The Company shall take all action necessary, to ensure that (i) the Charter Documents and Certificate of Designations do not, at any time, conflict with the provisions of this Agreement, and (ii) unless an amendment is approved by the Board of Directors in accordance with Section 4.2, the Charter Documents and the Certificate of Designations continue to be in effect in the forms attached hereto.
